General Terms and Conditions

§ 1 Scope and Contracting Parties

These General Terms and Conditions (GTC) apply to all business relationships between STAIDIUM GmbH (hereinafter "Company") and its customers. The Company is a specialized manufacturer of AI cameras for sports broadcasting and industrial applications.

§ 2 Conclusion of Contract

1. Our offers are subject to change and non-binding unless expressly designated as binding.
2. Orders from customers are considered binding offers. We may accept this offer within 14 days.
3. The contract is concluded upon our written order confirmation or delivery of the goods.

§ 3 Prices and Payment

1. All prices are quoted in Euro plus applicable statutory VAT.
2. Unless otherwise agreed, prices are ex works (EXW) according to Incoterms 2020.
3. Payment is due within 30 days of invoice date without deduction.
4. In case of default, we charge interest at the statutory rate.

§ 4 Delivery and Performance

1. Delivery dates are approximate unless expressly agreed as binding.
2. Partial deliveries are permissible if reasonable for the customer.
3. The risk of accidental loss or deterioration passes to the customer upon handover.
4. We reserve the right to make technical modifications that serve to improve the product.

§ 5 Warranty and Defects

1. The warranty period is 24 months from delivery.
2. We provide warranty by repair or replacement at our discretion.
3. Warranty claims are excluded for damage due to improper use, normal wear, or external influences.
4. Software products are delivered with the functionality described in the specifications.

§ 6 Liability

1. Our liability is limited to intent and gross negligence, except for injury to life, body, or health.
2. For slight negligence, we are only liable for breach of essential contractual obligations.
3. Liability for consequential damages and lost profits is excluded unless caused by intent or gross negligence.

§ 7 Intellectual Property

1. All intellectual property rights to our products and software remain with us.
2. The customer receives a non-exclusive right to use the delivered products.
3. Reverse engineering, decompilation, or modification of software is prohibited.

§ 8 Data Protection and Confidentiality

1. Both parties commit to treating all confidential information as strictly confidential.
2. Our AI cameras process data locally (edge computing) to ensure maximum data privacy.
3. Data processing complies with applicable data protection regulations (GDPR).

§ 9 Export Control

1. The customer is responsible for compliance with applicable export control regulations.
2. Products may not be exported to embargoed countries or sanctioned persons.
3. The customer indemnifies us against claims arising from export control violations.

§ 10 Final Provisions

1. The law of the Federal Republic of Germany applies exclusively.
2. Place of jurisdiction is Cologne, Germany.
3. Should individual provisions be invalid, the remainder of the contract remains valid.
4. Amendments must be made in writing.
